Welcome to Hooapp (“Hooapp,” “we,” “our,” or “us”).

These Terms and Conditions (“Terms”) govern your access to and use of the Hooapp website, mobile application, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.

  1. Description of Services

    Hooapp is a content-sharing and promotional platform that features restaurants, food establishments, consumer products, influencers, and related third-party providers (“Third-Party Providers”).

    Hooapp:

    • Publishes informational, promotional, and sponsored content.
    • May feature ratings, reviews, or recommendations.
    • Connects users with third-party restaurants and product providers.

    Hooapp does not own, control, manufacture, prepare, distribute, or directly sell third-party products or restaurant services unless explicitly stated.

    All transactions between users and Third-Party Providers are solely between those parties.

  2. Eligibility

    You must be at least 18 years old to use Hooapp.

    By using the Services, you represent and warrant that you are legally capable of entering into a binding contract and will comply with all applicable federal, state (including New York), and local laws.

  3. User Accounts

    To access certain features, users may be required to create an account.

    You agree to:

    • Provide accurate and complete information.
    • Maintain the confidentiality of login credentials.
    • Accept responsibility for all activity under your account.

    Hooapp reserves the right to suspend or terminate accounts at its sole discretion.

  4. User-Generated Content

    Users may submit reviews, photos, comments, ratings, and other materials (“User Content”).

    By submitting User Content, you grant Hooapp a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, display, distribute, and promote such content.

    You represent that you own or have the rights to the content and agree not to post unlawful, defamatory, fraudulent, misleading, or infringing content.

    Hooapp may remove content at its discretion without notice.

  5. Third-Party Providers

    Hooapp does not guarantee the quality, safety, legality, availability, or pricing accuracy of any restaurant or product.

    Hooapp is not responsible for food safety, allergic reactions, product defects, service quality, or any harm resulting from third-party services. Users interact with Third-Party Providers at their own risk.

  6. Advertising & Sponsored Content

    Hooapp may display paid advertisements, sponsored placements, affiliate links, or promoted listings.

    We may receive compensation from featured restaurants, brands, or influencers. Sponsored content will be disclosed as required under FTC guidelines. We do not guarantee that sponsored listings are superior to non-sponsored listings.

  7. Payments

    Hooapp may enable payment processing for reservations, food orders, product purchases, subscriptions, promotional services, or other transactions.

    1. Payment Processing

      Payments may be processed by third-party payment processors. By submitting payment information, you authorize Hooapp and its processors to charge applicable fees.

    2. Fees & Charges

      Hooapp may charge service fees, subscription fees, promotional fees, or transaction fees. All applicable fees will be disclosed prior to payment.

    3. Refunds

      Refund policies depend on the specific service purchased and the Third-Party Provider’s policies. Hooapp reserves the right to determine refund eligibility where applicable.

    4. Chargebacks

      Fraudulent or improper chargebacks may result in account suspension and legal action.

    5. Taxes

      Users and partners are responsible for applicable federal, state, and local taxes.

  8. Influencer & Content Creator Partnerships

    Hooapp may collaborate with influencers, content creators, and promoters (“Influencer Partners”).

    Influencer Partners are independent contractors and must comply with FTC endorsement and disclosure guidelines. They must clearly disclose paid partnerships and are responsible for the accuracy of their statements.

    Hooapp reserves the right to remove content that violates advertising laws, is misleading, or damages the platform’s reputation.

  9. Restaurant & Brand Partnerships

    Business partners represent that they have all required licenses and comply with health, safety, and consumer protection laws.

    They agree to indemnify Hooapp from claims arising from foodborne illness, product defects, regulatory violations, or false advertising.

    Hooapp reserves the right to remove or suspend listings at its discretion.

  10. Intellectual Property

    All platform content, branding, trademarks, software, and design elements are owned by or licensed to Hooapp and protected under U.S. intellectual property laws.

    You may not reproduce, distribute, modify, reverse engineer, or commercially exploit any content without written permission.

  11. Disclaimer of Warranties

    To the fullest extent permitted by law, the Services are provided “AS IS” and “AS AVAILABLE.” Hooapp disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy or reliability of content.

  12. Limitation of Liability

    To the maximum extent permitted under New York law, Hooapp shall not be liable for indirect, incidental, consequential, or punitive damages, loss of profits, revenue, data, or personal injury arising from third-party providers.

    Total liability shall not exceed $100 USD or the amount paid by you in the past 12 months.

  13. Indemnification

    You agree to defend, indemnify, and hold harmless Hooapp and its affiliates from claims arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

  14. Termination

    Hooapp may suspend or terminate access for violations of these Terms, fraudulent activity, or legal reasons.

  15. Governing Law & Dispute Resolution

    These Terms are governed by the laws of the State of New York. Any disputes shall be resolved exclusively in courts located in New York, NY, and you consent to jurisdiction there.

  16. Changes to Terms

    We may update these Terms at any time. Continued use of the Services constitutes acceptance of updates.
